Terms and Conditions

Introduction & Acceptance
Use of Ecovoltra.com constitutes acceptance of these Terms. If you do not agree, do not use the Site or place orders.

Orders & Acceptance
– All orders are offers to buy. We may accept, reject, or limit quantities at our discretion, including for fraud screening, pricing or listing errors, regulatory restrictions, inventory constraints, or logistics issues.
– Title and risk of loss transfer when the shipment is tendered to the carrier unless otherwise stated in the applicable order confirmation or quote.

Quoted & Custom Products
– Lead times vary by complexity, sourcing, manufacturing, and logistics. All lead times are estimates unless expressly guaranteed in writing.
– Quoted or custom products may include multi-region, OEM, or special-order components.
– Deposits may be required. Once accepted, quoted and custom orders may be non-cancellable and non-refundable except as otherwise required by law or expressly stated in writing.
– Installation, commissioning, permitting, inspections, interconnection, and third-party labor are excluded unless expressly included in the quote.

Pricing, Taxes, & Payment
– All pricing is in USD. Taxes, duties, fees, shipping, and handling charges may be added where applicable.
– Payment is due at checkout unless otherwise arranged in writing.
– We reserve the right to correct pricing, typographical, and listing errors and to cancel or refund affected orders.
– Additional fulfillment, oversized handling, storage, or special freight charges may apply to certain products or delivery methods, including third-party fulfillment channels.

Shipping, Delivery, & Inspection
– Shipping terms are FOB origin or equivalent unless otherwise stated.
– Delivery dates are estimates only. We are not liable for delays caused by carriers, suppliers, customs, weather, force majeure, or third-party service providers.
– You must inspect deliveries promptly and report visible shipping damage within 3 business days and concealed damage within 7 business days.
– Freight deliveries may require appointments. Missed appointments may result in additional storage, redelivery, or handling fees.

Third-Party Fulfillment, Including Amazon FBA
– We may use third-party fulfillment providers, including Fulfillment by Amazon (FBA) and similar logistics services, to warehouse, pack, and ship certain products.
– Orders may be shipped in multiple boxes, from multiple facilities, or through substituted carriers at our discretion.
– Carrier scans, FBA scans, or equivalent fulfillment records may be treated as evidence of shipment and delivery.
– You are responsible for accurate shipping information. Address correction, re-delivery, return-to-sender, storage, and related charges caused by incorrect delivery information may be passed through to you.
– Certain products may be ineligible for FBA or comparable channels and may be rerouted, delayed, or cancelled at our discretion.

Refunds, Returns, & RMAs
– Standard products are subject to our refund and shipping policy available on the site.
– Custom, quoted, special-order, and made-to-order products are not eligible for return or refund except in the case of verified defects, shipping damage timely reported, or as otherwise required by law.
– Returns require prior authorization and an RMA when applicable. Restocking fees may apply.
– Do not return products to Amazon, FBA facilities, or other third-party fulfillment centers unless we expressly provide return instructions for that channel.

Installation, Use, & Safety
– Unless expressly stated otherwise, products are sold as equipment only. Installation, wiring, engineering review, trenching, permitting, inspections, and code compliance are the customer’s responsibility.
– Customers must use qualified professionals where required by law, code, utility rules, or manufacturer guidance.
– Products may not be used in life-support, nuclear, defense-critical, or other ultra-hazardous applications unless expressly approved in writing.

AI-Assisted Communications & Customer Service
– Ecovoltra may use artificial intelligence, large language models, automated workflows, and similar software tools to assist with customer service, order support, internal drafting, product information responses, and email communications.
– Some customer communications may be fully automated, partially automated, or AI-assisted with human review, revision, approval, escalation, or intervention, depending on the context.
– Certain support or email aliases may identify a named virtual assistant, automated support persona, or AI-enabled agent and may not correspond to a single natural person, even where human personnel supervise, monitor, or intervene in the communication process.
– By contacting us through email, forms, chat, or similar channels, you acknowledge and consent that your inquiry may be received, routed, drafted, summarized, translated, categorized, or responded to using AI-assisted systems and third-party LLM platforms or service providers acting on our behalf, subject to our Privacy Policy and applicable law.
– We do not guarantee that AI-assisted communications will be error-free, complete, or suitable for your specific situation. Final product specifications, pricing, availability, lead times, and contractual commitments are governed only by official quotes, order confirmations, invoices, or signed written agreements issued or approved by Ecovoltra.
– You may request human review of a customer service matter by contacting [email protected]. We reserve the right to determine staffing, escalation path, and response method.
– We may log, retain, review, and analyze communications, including AI-assisted interactions, for quality assurance, fraud prevention, training, compliance, order handling, and service improvement purposes.

Warranties (OEM) & Disclaimers
– Except where expressly stated otherwise in writing, products are sold subject only to applicable OEM or manufacturer warranties, if any.
– To the fullest extent permitted by law, the Site, communications, product information, and services are provided on an “as is” and “as available” basis.
– We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade, except where such disclaimer is prohibited by law.

Intellectual Property
All site content, branding, graphics, product copy, documentation, software outputs, and related materials are owned by or licensed to Ecovoltra and may not be copied, scraped, republished, reverse engineered, or reused without prior written consent.

Limitation of Liability
– To the fullest extent permitted by law, Ecovoltra is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.
– Our total aggregate liability for any claim relating to the Site, products, communications, or services will not exceed the amount paid by you to Ecovoltra for the product or transaction giving rise to the claim during the 12 months preceding the event at issue.
– This limitation applies regardless of theory of liability, whether in contract, tort, strict liability, or otherwise, except to the extent prohibited by law.

Indemnification
You agree to defend, indemnify, and hold harmless Ecovoltra and its affiliates, officers, agents, contractors, service providers, and personnel from claims, losses, liabilities, damages, and expenses arising from your misuse of products, violation of law, non-compliant installation, or breach of these Terms.

Privacy, Data Use, & Fulfillment Data Sharing
You acknowledge that we may share necessary information with payment processors, logistics providers, fulfillment channels, support platforms, analytics vendors, fraud-prevention tools, AI service providers, and similar third parties as reasonably necessary to operate the Site, process orders, provide support, and improve our services, subject to our Privacy Policy and applicable law.

Compliance, Export Controls, & Sanctions
You are responsible for compliance with applicable laws, regulations, export controls, and sanctions. Products may not be exported, re-exported, transferred, or used in violation of U.S. law or other applicable restrictions.

Electronic Communications & E-Sign
Electronic communications, quote acceptances, checkout approvals, and email confirmations may constitute signed writings and binding records to the extent permitted by law.

Governing Law & Arbitration
– These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules.
– Except where prohibited by law, disputes will be resolved by binding arbitration in Denver County, Colorado, before a single arbitrator under rules selected by Ecovoltra from a recognized arbitration provider.
– Nothing in this section prevents either party from seeking temporary or injunctive relief in a court of competent jurisdiction for misuse of intellectual property, confidential information, or similar emergency matters.

Revisions
We may update these Terms from time to time by posting a revised version with a new Effective Date. Continued use of the Site or continued transactions after changes are posted constitutes acceptance of the revised Terms.
